When the Boss Goes, Should You?

June 14, 2005 - Two recent stories about CEO departures have made investors ask whether they need to bail on the companies they own or invest in when the boss leaves. Earlier this month, insurance giant Massachusetts Mutual Life fired its C.E.O., Robert J. O'Connell, "due to certain issues" that "do not affect the company's financial strength" but were related to O'Connell's "conduct."

It is rare that a CEO is dumped without explanation and in fact, we were concerned about the lack of details. Somehow the new chief’s declaration that the board's action showed its commitment to "the principles of transparency, accountability and meritocracy" did not convince us. What happened? According to the Boston Herald, the board of directors was so worried about O’Connell that they had conducted a private investigation for over a year.

Could it be that this was a steamy office romance gone awry? O’Connell was axed within days of two high-level female executives also leaving the company and he and his wife of 38 years began divorce proceedings last fall, citing an ``irretrievable breakdown'' of the marriage. Or maybe it was another example of a CEO whose ego went over the edge. According to the Boston Globe, the directors found O’Connell to be "a mercurial boss who indulged himself at company expense, taking private trips on corporate aircraft, getting an inside deal on a company-built condominium in Florida, and arbitrarily lowering the pay and bonuses of underlings whom he disliked."

In the final analysis, it seems like this ouster was similar to one that has been taking place at Morgan Stanley for months. Morgan Stanley’s CEO Philip Purcell finally stepped down yesterday, three months after a group of dissident former employees (and large stockholders) demanded his removal. The group had accused Purcell of mismanaging the company, which had caused the stock price to lag its rivals.

As it turns out in Mass Mutual’s case, O’Connell’s departure was similar in that it highlighted a battle for control between two tough opponents: O’Connell, who opposed other company officials' efforts to take the Springfield-based company public and reap a fortune. Unnamed executives said that some board members pressured to convert the firm, one where policyholders own the firm, to one where stockholders do— a process known as demutualization. In an October 2003 interview, O'Connell said, ''We would never demutualize to get access to capital; we have all the capital we need. We would never demutualize to pay our employees more money; that is not a good reason."

If you are an investor who owns a MassMutual product (an insurance policy or an Oppenheimer mutual fund), should you sell it? The answer is probably no, with a caveat. There may be good reasons to get out of the product you own, but the CEO ouster may not be one of them. The same goes for Morgan Stanley products---we would not recommend selling them because Purcell left, but we would sell them to buy a better alternative, as hundreds exist.
