The Bottom Line on Ethics

March 30, 2005 - Two stories, two papers, two different messages. Yesterday’s New York Times front page highlighted the rise in corporate firings over ethical questions. The most recent examples are the Boeing chief who was forced to resign over an affair, the Wal-Mart exec who stepped down over questions on expense account expenses and the Bank of America’s dismissal of two senior investment bankers for acting on a tip to try to get in on a big merger.

The Times article focused its attention on Bank of America, perhaps because the third largest US bank has paid over $1 billion in fines for various regulatory and scandal-related infractions. In a statement, the bank said: "The environment in the financial services sector continues to evolve and in any environment we expect our associates to maintain the highest possible ethical standards in everything that they do."

That is certainly a lofty goal and one which is difficult to enforce. Usually, it is the responsibility of the corporate suite to instill into an organization a culture of regulatory and ethical compliance. That is why it seemed ironic to read an article in yesterday’s Wall Street Journal about Bank of America’s CEO, Kenneth Lewis.

According to a recent proxy filing with the SEC, Mr. Lewis was paid a total of $19.3 million in compensation---not bad for a guy who had to eat a lot of crow with the NASD, the SEC and various state regulators. In determining Mr. Lewis’ pay, the Bank of America compensation committee cited the successful $47 billion takeover of FleetBoston Financial as well as account growth in the Northeast.

Here is what the compensation committee was willing to overlook: over one billion dollars paid to settle cases related to Enron, WorldCom, the specialist scandal and the mutual fund timing scandal. Where does that factor into the evaluation of Mr. Lewis’ performance?

It’s easy to toss aside Bank of America marching soldiers to comply with "zero-tolerance" policies, but to what level of scrutiny should the CEO be held? At Bank of America, the answer seems clear.
